This End User License Agreement ('EULA' or 'Agreement') is a legally binding agreement between you ('User' or 'you') and RAKETT LLC ('Company', 'we', 'us', or 'our'), a California Limited Liability Company · Doc. No. 202461113292. This Agreement governs your use of the Seth AI mobile application and any related services.
You must be at least 18 years of age to use Seth AI. By using Seth AI, you represent that you are 18 or older and legally capable of entering into binding agreements.
Subject to your compliance with this Agreement, RAKETT LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use Seth AI solely for your personal, non-commercial purposes on a mobile device you own or control.
This license does not include any right to: sublicense the application; use Seth AI for commercial purposes without written authorization; copy, modify, or create derivative works of the application.
Seth AI and all related content, features, code, designs, graphics, trademarks, and intellectual property are owned by RAKETT LLC or licensed to it. This EULA does not transfer any ownership rights to you. 'Seth AI' and associated marks are trademarks of RAKETT LLC.
All rights not expressly granted in this Agreement are reserved by RAKETT LLC.
Seth AI uses artificial intelligence to generate content ('AI Output'). AI Outputs are provided for informational and entertainment purposes only. RAKETT LLC does not guarantee the accuracy, completeness, or fitness for any purpose of AI Outputs.
You acknowledge that AI Outputs may be imperfect, unexpected, or incorrect. You assume full responsibility for any reliance on AI Output. RAKETT LLC expressly disclaims liability for decisions made based on AI Output. You further acknowledge that similar or identical outputs may be generated for other users.
By submitting content, data, or prompts to Seth AI ('User Content'), you grant RAKETT LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, process, adapt, modify, publish, and distribute such User Content solely for the purpose of operating and improving the Seth AI service.
You represent that you own all rights to User Content you submit or have obtained all necessary permissions. You remain solely responsible for User Content.
Seth AI may offer in-app purchases, premium features, or subscription plans ('Paid Content'). All purchases are processed through the applicable app store platform (Apple App Store or Google Play). RAKETT LLC is not responsible for payment processing errors by app stores.
Subscription fees are billed in advance on a recurring basis. Subscriptions renew automatically unless cancelled before the renewal date. Refund policies are governed by the applicable app store's refund policy. Seth AI is not obligated to issue refunds outside of applicable app store policies.
RAKETT LLC may update, modify, add, or remove features of Seth AI at any time with or without notice. Updates may be required for continued use. Your continued use of Seth AI after an update constitutes acceptance of the updated application and any amended terms.
RAKETT LLC may terminate this license and your access to Seth AI at any time, with or without cause, with or without notice. Upon termination, you must cease all use of Seth AI and delete all copies from your devices.
Termination does not limit any of RAKETT LLC's rights or remedies at law or equity. Sections that by their nature should survive termination shall survive.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Seth AI IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
RAKETT LLC DOES NOT WARRANT THAT Seth AI WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. YOUR USE OF Seth AI IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAKETT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE Seth AI, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAKETT LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RAKETT LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $100.00, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless RAKETT LLC, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this EULA, your use of Seth AI, your User Content, or your violation of any rights of any third party.
This Agreement is governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles. You agree that any dispute arising from this Agreement or your use of Seth AI shall be resolved by binding arbitration in Los Angeles County, California, pursuant to the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
This EULA, together with our Privacy Policy, Terms of Service, and any other policies incorporated herein, constitutes the entire agreement between you and RAKETT LLC with respect to Seth AI and supersedes all prior agreements, understandings, or representations.
If any provision of this EULA is held to be unenforceable, the remaining provisions shall continue in full force and effect.
